General Terms and Conditions of Sale.
Applicable to all products sold by Robins Flotech Ltd.

Acceptance of Orders

All orders are subject to acceptance by our main office at Surrey, British Columbia, Canada. Orders submitted on customers own purchase order form will be accepted only with the express understanding that no statements, clauses or conditions contained in said purchase order form will be binding on the seller if they, in any way, modify the seller’s own terms and conditions of sales.

Prices

Unless expressly stated in writing otherwise, all orders will be invoiced at prices in effect at time of shipment. All prices are F.O.B. Robins Flotech Ltd., Surrey, BC or if quoted such may be F.O.B. Robins Flotech Ltd., Edmonton, Alberta.

All prices are exclusive of taxes. GST and PST if applicable will be charged unless the appropriate exemption documents are presented at time of sale.

Quotations

All quoted prices are valid for 60 days unless stated in writing otherwise. Robins Flotech Ltd. reserves the right to withdraw any quotation without notice prior to our acceptance in writing.

Terms of Payment

Net 30 days from invoice date.

Deliveries

Materials quoted as being available from inventory are always subject to prior sale Seller shall not be liable for any direct, indirect, or consequential damage or loss caused by delay in delivery, regardless of the cause of delay and whether from fire, flood accidents, riots, strikes, transportation delays, labour or material shortages or any other cause.

Risk

All goods are at the risk of the purchaser after they have been shipped by Robins Flotech Ltd. to the carrier and receipt obtained for the same (in good order). Claims for damage in transit must be filed with the transportation company and are the Buyer’s responsibility.

Returned Goods

Robins Flotech Ltd. or any of the companies represented by Robins Flotech Ltd. will not accept any return without prior written permission, and may require an RGA (returned goods authorization) number.

Transportation charges on returned materials shall be to the Buyer’s account. Material returned in new saleable condition will be subject to a restocking charge of 25%. Material returned requiring refurbishing will be subject to 25%, as well as refurbishing cost to bring to new condition.

Brokerage or special trim items will not be accepted under any circumstances unless we are able to obtain permission from our supplier; our supplier’s terms and conditions would then apply.

Warranty

Any product sold by Robins Flotech Ltd. found to be defective due to faulty workmanship or material will be replaced without charge provided in each case that product is properly installed and used in the service for which Robins Flotech Ltd. and the manufacturer recommends and that written notice, specifying the alleged defects is presented to Robins Flotech Ltd. within one year from the date of installation or 18 months from the date of purchase whichever prevails. Thereafter Robins Flotech Ltd. shall not be liable in any respect for any defective products. Robins Flotech Ltd. shall in no circumstances, be liable for any claims for labour, installation costs, damages or other special or consequential damages including but not limited to loss of revenue or profits, or other expenses incurred by reason of the use or sale of any material products found to be defective. The provisions of this paragraph represent the only warranty of Robins Flotech Ltd. and no other warranties or conditions statutory or otherwise shall be implied.

The warranty shall not apply to any product which is modified or changed in design or function after leaving the Robins Flotech Ltd. warehouse or our supplier’s warehouse.

Cancellation

Orders accepted by the seller for special brokerage items not normally stocked are not subject to cancellation or to change except with the seller’s consent and upon terms which will indemnify seller against consequential loss or damage.
